1. Description of Services
333Xperts provides professional event consulting, production, and logistics services. We also offer: the Onsite Xperts mobile application, which helps event professionals plan, manage, and execute events (floor plans, schedules, checklists, labor tracking, check-in, budgeting, and AI-assisted tools); the Content Boost service — professional onsite video capture and delivery of three edited social media reels for a flat fee of $333; and future Pro subscription features within the App (unlimited events, cloud sync, advanced AI, and more).
The App works fully offline. Data is stored locally on your device and can sync to the cloud when enabled (Pro users).
2. Eligibility and User Accounts
You must be at least 18 years old and capable of forming a binding contract to use the Services. You may be required to create an account to access certain features of the App. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.
3. User Content and Data
You retain ownership of all content, data, and materials you upload or create using the Services ("User Content"), including event details, floor plans, schedules, contact lists, photos, and notes. By using the Services, you grant 333Xperts a limited, non-exclusive license to use your User Content solely as necessary to provide and improve the Services. You are solely responsible for the accuracy, legality, and appropriateness of your User Content.
4. Intellectual Property
All content on the Site and App, including text, graphics, logos, software, and the Onsite Xperts name and design, is owned by 333Xperts LLC or its licensors and is protected by intellectual property laws. You may not copy, modify, distribute, sell, or create derivative works from any part of the Services without our prior written permission.
5. Payment Terms
Content Boost Service: payment of $333 is due at the time of booking. This is a one-time service fee. Once filming has begun, the fee is non-refundable except in cases of our failure to deliver the agreed deliverables — see our Refund & Cancellation Policy for full details.
App Subscriptions (future Pro features): any subscription fees will be clearly disclosed before purchase and billed according to the plan you select.
All payments are processed securely through third-party payment processors. We do not store your full payment card information.
6. Prohibited Uses
You agree not to: use the Services for any illegal purpose or in violation of any laws; upload or transmit viruses, malware, or harmful code; attempt to gain unauthorized access to the App, Site, or our systems; reverse engineer, decompile, or disassemble any part of the App; use the Services to harass, abuse, or harm others; or share or resell access to the App or Services without authorization.
7. Disclaimer of Warranties
The Services are provided "as is" and "as available." We make no warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not guarantee that the App will be uninterrupted, error-free, or completely secure. The App's offline functionality depends on your device and local storage.
8. Limitation of Liability
To the maximum extent permitted by law, 333Xperts LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenues, data, use, or goodwill, resulting from your use of or inability to use the Services, unauthorized access to or alteration of your data, any content or conduct of third parties, or any errors or omissions in the Services. Our total liability shall not exceed the amount you paid to us in the twelve (12) months preceding the claim.
9. Indemnification
You agree to indemnify, defend, and hold harmless 333Xperts LLC and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Services or your violation of these Terms.
10. Termination
We may suspend or terminate your access to the Services at any time, with or without cause, including if you violate these Terms. Upon termination, your right to use the Services will immediately cease. You may stop using the Services at any time. Deleting the App will remove local data from your device.
11. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the State of Illinois, without regard to its conflict of law principles. Any dispute arising out of or relating to these Terms or the Services shall be resolved exclusively in the state or federal courts located in Cook County, Illinois. You consent to the personal jurisdiction of such courts.

12. Auto-Renewable Subscriptions

The Onsite Xperts app offers an auto-renewable subscription ("Onsite Xperts Pro"). The following terms apply to subscriptions purchased through the Apple App Store:

• Subscription options: [e.g., Monthly — $9.99/month; Annual — $79.99/year]. Pricing is shown in the app before you confirm your purchase and may vary by region.

• Auto-renewal: Your subscription automatically renews at the end of each billing period at the then-current price unless you cancel at least 24 hours before the end of the current period.

• Billing: Payment is charged to your Apple ID account at confirmation of purchase. Your account is charged for renewal within 24 hours prior to the end of the current period.

• Managing your subscription: You can manage or turn off auto-renewal at any time in your device's Settings → your Apple ID → Subscriptions.

• Free trials (if offered): Any unused portion of a free trial is forfeited when you purchase a subscription.

• Links: Use of the app and any subscription is governed by these Terms of Use and our Privacy Policy.

13. Changes to These Terms
We may update these Terms from time to time. The most current version will always be posted on this page with the effective date. Your continued use of the Services after any changes constitutes acceptance of the revised Terms.

15. Miscellaneous
These Terms constitute the entire agreement between you and 333Xperts LLC regarding the Services and supersede all prior agreements. If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect. Our failure to enforce any right or provision of these Terms will not constitute a waiver of such right or provision.
